1. Scope and Parties
1.1 Applicability
These Terms and Conditions (“Terms”) govern the use of the QuerySignal platform and related services (the “Service”) by business customers only (“Customer”). QuerySignal is intended exclusively for use by businesses, organizations, and professionals acting in the course of their commercial or professional activity. Use by consumers is not permitted.
The Customer may use the Service solely for its internal business operations. Use of the Service for third-party services, resale, or time-sharing is prohibited unless expressly agreed in writing.
1.2 Provider
QuerySignal is operated by Sella Consultancy FZ LLC. (“QuerySignal,” “Provider,” “we,” or “us”). These Terms constitute the entire agreement between QuerySignal and the Customer (“you”).
Any conflicting or supplemental terms proposed by the Customer are expressly rejected unless accepted by QuerySignal in writing.
2. Services Provided
2.1 Core Service Description
QuerySignal provides a software-as-a-service platform focused on AI Visibility and Answer Engine Optimization (AEO). The Service enables Customers to:
Track whether brands, products, or entities appear in AI-generated answers;
Monitor visibility, presence, and comparative positioning across AI systems;
Analyze sentiment indicators associated with AI-generated responses;
Identify cited sources used by AI systems;
Review trends, changes, and performance over time;
Receive system-generated recommendations, prompts, or signals.
2.2 What QuerySignal Does Not Do
QuerySignal does not:
Guarantee brand inclusion or ranking in AI-generated responses;
Control, influence, or manipulate third-party AI systems;
Provide legal, marketing, SEO, or business strategy advice;
Guarantee accuracy, completeness, or neutrality of AI outputs;
Ensure that any suggested prompt or recommendation will produce a specific outcome.
2.3 Service Availability
QuerySignal provides access to the most current operational version of the Service via the internet. We may modify or update features at our discretion, provided core functionality is not materially reduced.
2.4 Third-Party Dependencies
The Service relies on third-party platforms, APIs, and AI systems. QuerySignal does not control these systems and is not responsible for changes, outages, limitations, or discontinuation by third-party providers.
3. Inputs, Outputs, and AI-Generated Content
3.1 Inputs and Outputs
Customers may submit prompts, keywords, brand names, URLs, or other data (“Input”). The Service generates analytics, reports, or AI-derived results (“Output”). Input and Output together constitute “Content.”
3.2 No Accuracy Guarantee
Outputs are probabilistic and depend on external AI systems and Input quality. QuerySignal makes no warranties regarding correctness, completeness, or fitness for any particular purpose.
4. Customer Responsibilities and Acceptable Use
4.1 Customer Obligations
The Customer agrees to:
Use the Service in compliance with all applicable laws;
Maintain confidentiality of login credentials;
Ensure Inputs do not violate third-party rights or laws;
Avoid submitting personal data unless legally permitted.
4.2 Prohibited Conduct
The Customer shall not:
Reverse engineer, scrape, or replicate the Service;
Use the Service to train competing models;
Misuse AI systems or violate third-party platform rules;
Attempt to infer proprietary datasets or algorithms.
QuerySignal may suspend or terminate access for violations.
5. Intellectual Property
5.1 Provider IP
All intellectual property rights in the Service, including software, algorithms, methodologies, dashboards, and documentation, remain the exclusive property of QuerySignal.
The Customer receives a limited, non-exclusive, non-transferable right to use the Service during the contract term.
5.2 Customer Data
The Customer retains ownership of its Input data. QuerySignal may process such data solely to provide the Service and improve platform functionality, in accordance with the Privacy Policy.
6. Fees and Payment
6.1 Fees
Fees are charged according to the selected subscription plan. All fees are exclusive of applicable taxes.
6.2 Billing
Subscriptions are billed in advance on a recurring basis. Failure to pay may result in suspension or termination of access.
6.3 No Set-Off
Payments may not be withheld or offset except for undisputed or legally established claims.
7. Free Trials
7.1 Trial Access
QuerySignal may offer limited free trials. Trial features, limits, and duration are determined solely by QuerySignal.
7.2 Trial Disclaimer
During trials, the Service is provided “as is,” without warranties or guarantees.
8. Service Levels and Maintenance
QuerySignal targets reasonable commercial availability but does not guarantee uninterrupted operation. Scheduled maintenance, force majeure events, and third-party failures are excluded from downtime calculations.
9. Warranties and Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, QuerySignal disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
10.1 Unlimited Liability
QuerySignal is fully liable only for:
Intentional misconduct or gross negligence;
Injury to life, body, or health;
Mandatory statutory liability.
10.2 Limited Liability
For ordinary negligence, liability is limited to foreseeable damages typical for this type of contract.
10.3 Excluded Liability
QuerySignal is not liable for indirect, incidental, or consequential damages, including lost profits, loss of data, or reputational harm.
11. Term and Termination
11.1 Term
The agreement begins upon account creation or acceptance and continues for the subscribed term.
11.2 Termination for Convenience
Monthly plans may be terminated at the end of the billing cycle. Annual plans require written notice prior to renewal.
11.3 Termination for Cause
Either party may terminate immediately for material breach.
11.4 Effects of Termination
Upon termination, access is revoked. QuerySignal may delete Customer data after a reasonable retention period unless legally required otherwise.
12. Data Protection
QuerySignal processes personal data in accordance with its Privacy Policy and applicable data protection laws, including GDPR where applicable.
13. Reference Use
Unless objected to in writing, QuerySignal may list the Customer’s name and logo as a client reference in a factual manner.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New York, USA, excluding conflict-of-law rules. Courts located in New York County, New York shall have exclusive jurisdiction.
15. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement.
Severability: Invalid provisions do not affect remaining terms.
Assignment: Customer may not assign without consent.
Language: English is the controlling language.
